General Terms and Conditions of Business and Use for Coaches

1. Provider and scope of application
These General Terms and Conditions of Business and Use for Coaches, hereinafter referred to as the "Coach Terms", govern the contractual relationship between The Coach Grid GmbH, with registered office at 6330 Cham, Sinserstrasse 67, entered in the commercial register of the Canton of Zug under the company identification number CHE-380.535.843, reachable at info@thecoachgrid.com, hereinafter referred to as "The Coach Grid", and all natural or legal persons who apply for admission to the platform as a coach, personal trainer, sports coach, nutrition coach or as a provider of comparable services, or who maintain a profile there, hereinafter referred to as the "Coach".
The Coach Terms apply to the application, verification, registration, activation and publication of a Coach profile as well as to all related services of The Coach Grid. They apply irrespective of whether the Coach uses the platform via a website, a mobile view, a future app or via other technical access channels provided by The Coach Grid.
By electronically accepting these Coach Terms, by paying a registration, enrolment or subscription fee, or at the latest upon activation of the Coach profile, the Coach confirms that he has read, understood and accepted these Coach Terms in full.
For users who search for coaches via the platform and submit contact requests, the separate General Terms of Use for Users of The Coach Grid apply. These Coach Terms govern exclusively the relationship between The Coach Grid and the Coach.
Individual written agreements between The Coach Grid and the Coach take precedence over these Coach Terms. General terms and conditions of the Coach do not apply in the relationship between The Coach Grid and the Coach unless The Coach Grid has expressly agreed to their applicability in writing.
2. Purpose and role of The Coach Grid
The Coach Grid operates a digital search, comparison, presentation and contact platform for coaches and for persons seeking coaching services. The platform enables coaches to present their services, specialisations, qualifications, prices, locations, languages and other relevant information in a structured profile. The Coach Grid may make search, filter, comparison and contact options available to interested parties. Contact requests may be transmitted to the selected Coach via forms, email forwarding, internal notifications or other technical communication channels.
As a matter of principle, The Coach Grid does not itself provide any fitness, training, nutrition, health, therapy, rehabilitation or medical services. The Coach Grid does not create individual training or nutrition plans for users and does not assume any professional supervision of the user, unless such a service is expressly and separately offered and agreed by The Coach Grid.
The Coach Grid is not a party to any subsequent contract between the Coach and a user. A coaching, training, consulting or other service contract is concluded exclusively between the Coach and the respective user. The Coach is himself responsible for drawing up his own contractual terms, prices, cancellation rules, payment terms, liability provisions and data protection notices towards his customers in compliance with the law.
The publication of a Coach profile does not establish any employment relationship, any mandate relationship, any simple partnership, any power of representation, any franchise relationship and any exclusivity relationship between The Coach Grid and the Coach.
3. Requirements for application and registration
The Coach must have legal capacity and must have completed his eighteenth year of age. If the Coach acts on behalf of a company, a sole proprietorship, an association or another organisation, the registering person confirms that he is authorised to represent that organisation and to conclude the agreement.
The Coach is obliged to fulfil all statutory, professional, tax, social insurance, commercial and professional regulatory requirements for his activity himself. This includes in particular the independent clarification and fulfilment of obligations towards tax authorities, compensation funds, insurers, professional associations and other competent bodies.
The Coach confirms that he offers his services independently, on his own account, on his own responsibility and with his own operating resources. He decides himself on working hours, place of work, training methods, prices, acceptance of customers and the performance of his services, insofar as no statutory or contractual restrictions exist.
The Coach has no claim to be recognised or treated by The Coach Grid as self-employed. The assessment under social insurance and tax law is made exclusively by the competent authorities. The Coach bears the risk that authorities may qualify his activity differently.
4. Application and verification process
The admission of a Coach requires an application and a successful review by The Coach Grid. The Coach must submit the information and evidence requested by The Coach Grid completely, correctly and in a suitable form. The Coach Grid may in particular request information on identity, on the business, on education, on professional qualifications, certificates, diplomas, professional experience, specialisations, insurance cover, website, social media presence, references, customer reviews, competition experience and on any professional accreditations. The Coach Grid is entitled to request additional information, original documents, certified copies or confirmations from issuing institutions. The Coach Grid may review publicly available information and, to the extent permissible, obtain information from training institutes, professional associations or reference persons.
The verification by The Coach Grid constitutes merely a review of the submitted or accessible information within the scope of operational possibilities. It is not an official authorisation, not a guarantee of professional quality, not a guarantee of the authenticity of all documents and not a permanent monitoring of the Coach's activity.
The Coach Grid is entitled to reject an application without stating reasons. There is no entitlement to admission, activation or publication. A rejection does not give rise to any claim for damages, lost profit or compensation for application effort.
If a payment is made before the verification has been completed, The Coach Grid sets out in the ordering process whether the fee will be refunded in full or in part in the event of rejection. In the absence of such an express provision, a publication fee already paid will in principle be refunded in the event of a final rejection, less demonstrable fees of external payment service providers, insofar as this is legally permissible.
5. Truthful and up-to-date information
The Coach undertakes to provide exclusively complete, correct, up-to-date and non-misleading information. This concerns in particular his identity, business activity, qualifications, certificates, training, professional experience, specialisations, prices, availability, locations, languages, services offered and past achievements.
The Coach may not state any qualification, professional title, accreditation or certification which he is not entitled to use. In particular, he may not claim any medical, therapeutic, nutritional-medical or rehabilitative competences which are not covered by corresponding training or statutory authorisation.
The Coach undertakes to update changes to his information in the profile without delay or to notify The Coach Grid. This applies in particular in the event of expiry, withdrawal or restriction of certificates, accreditations, insurance policies, professional practice licences or other relevant evidence.
The Coach Grid may at any time request the Coach to confirm information again or to submit updated evidence. If the Coach does not respond within the deadline set, The Coach Grid may temporarily deactivate the profile or remove it permanently.
6. Coach profile and permitted content
Within the scope of the selected offer, the Coach is given the opportunity to create a profile with the information provided for by The Coach Grid. The scope, structure, order and presentation of the profile fields are determined by The Coach Grid and may be adjusted in the interest of user-friendliness or technical further development.
The Coach is responsible for all content provided by him. This includes texts, images, videos, logos, price information, links, certificates, references and other materials. The Coach may only use content to which he holds the necessary rights. In particular, he confirms that uploaded photos and videos may be used with the consent of the persons depicted and that logos, texts or other protected content do not infringe any third-party rights. If minors are depicted or mentioned in uploaded photos, videos or in testimonials, the Coach confirms that the consent of the legal representative has been obtained and that the use complies with applicable data protection and personality rights law.
Unlawful, deceptive, discriminatory, insulting, pornographic, violence-glorifying, health-endangering or otherwise inappropriate content is not permitted. Also impermissible are false guarantees of success, misleading before-and-after representations, unsubstantiated promises of healing and statements which could induce users to behave in a medically unjustifiable manner. The Coach may not publish any content which disparages third parties or impairs the reputation of The Coach Grid, other coaches, users or business partners.
The Coach Grid is entitled to review, shorten, formally adjust, not activate or remove content where this appears necessary in order to comply with statutory provisions, to safeguard the quality of the platform, to maintain a consistent appearance or to protect third parties. Changes to content which substantially alter its message are in principle made after consultation with the Coach, unless an immediate measure is necessary.
7. Rights of use in profile content
For the duration of the contractual relationship, the Coach grants The Coach Grid a non-exclusive right of use, unrestricted in territory and necessary for the operation and promotion of the platform, in the content provided by him. This right of use includes in particular the storage, technical processing, formatting, reproduction, making publicly available and display of the content on the platform as well as in search engines, social networks, newsletters, presentations and advertising materials of The Coach Grid.
The Coach Grid may use profile pictures, names, logos and short excerpts from profile texts to promote the platform or to present listed coaches. Use for third-party products or processing which distorts the content is not permitted.
After termination of the contractual relationship, The Coach Grid removes the public profile content within a reasonable period. Social media posts, newsletters, presentations or technically cached content already published do not have to be removed retroactively from all archives, insofar as no overriding interests of the Coach or statutory deletion obligations conflict with this.
8. Fees, prices and payment processing
The Coach Grid may charge a one-off or recurring fee for the review, admission, publication or use of certain platform functions. The prices and service descriptions displayed on the platform at the time of the order are decisive. All prices are stated in the currency indicated. Whether value added tax is included in the price or is charged in addition follows from the respective price indication and invoice.
Coaches may choose between annual and monthly payment. The method of payment concerns exclusively the rhythm of invoicing and has no influence on the minimum contract term pursuant to section 19. In particular, monthly payment does not result in a contractual relationship terminable on a monthly basis; the Coach remains obliged to pay all outstanding instalments for the agreed minimum contract term, even if he discontinues use of the platform prematurely.
Since the Coach uses the platform within the scope of his independent professional or commercial activity (cf. section 3), the right of withdrawal under consumer protection law does not apply. A right of withdrawal therefore does not exist unless expressly agreed otherwise in writing.
Payment is made via the means of payment offered by The Coach Grid. For payment processing, The Coach Grid may use external payment service providers such as Stripe. The terms and data protection provisions of the respective payment service provider apply in addition. The fee becomes due upon conclusion of the order or, in the case of recurring payments, at the beginning of the respective payment period, unless otherwise stated in the offer. The Coach Grid is entitled to activate the profile only after full receipt of payment. In the case of failed, charged-back or disputed payments, The Coach Grid may temporarily deactivate the profile. The Coach remains obliged to pay amounts owed as well as reasonable chargeback, reminder and processing fees, insofar as these have actually been incurred and are legally permissible.
9. Scope of services and changes
The specific scope of services follows from the offer description published at the time of conclusion of the contract. The Coach Grid may in particular provide a public profile, search and filter functions, a contact function, a verification label, statistical evaluations or further visibility services.
A one-off enrolment fee does not automatically mean that the profile remains published for an unlimited period and without any future condition. The intended term or continuation must be clearly described in the respective offer. If lifelong or permanent publication is expressly assured, this applies only for the lifetime of the platform and subject to compliance with these Coach Terms.
The Coach Grid may further develop, replace, restrict or discontinue functions, provided that the essential purpose of the contract is preserved. Significant detrimental changes will be communicated to the Coach in an appropriate form.
The Coach Grid may offer chargeable additional services such as highlighted placements, advertising packages, additional locations, extended statistics or sponsoring opportunities. Such additional services are owed only on the basis of a separate order.
10. Search results, rankings and visibility
The order of coaches in search results may be based on various criteria. These may include in particular the match with the selected filters, proximity of location, profile completeness, availability, currency of information, quality of content, user interactions, paid highlighting and technical factors.
The Coach Grid does not guarantee any particular position in search results, any minimum number of profile views and any permanent visibility on particular pages. Paid highlighting may be marked as such.
The Coach has no claim to be displayed ahead of other coaches on the basis of his qualification, his duration on the platform or the amount of his fee, unless this has been expressly agreed. Nor does The Coach Grid guarantee any particular placement of the platform or of the Coach profile with Google, Bing or other search engines.
11. Contact requests and leads
Users may send contact requests to selected coaches via the platform. The Coach Grid technically forwards the information entered by users to the respective Coach. As a matter of principle, The Coach Grid does not fully check whether a request is serious, correct, complete or commercially exploitable. The Coach Grid may employ technical and organisational measures against spam, bots and misuse, but does not guarantee that every forwarded request originates from a real person or leads to a paying customer.
The Coach Grid does not owe any particular number, quality, geographical origin or closing probability of leads. Forecasts, model calculations, reach figures and marketing figures are non-binding estimates unless they are expressly designated in writing as a guarantee.
The Coach decides independently whether and how he responds to a request. He undertakes to contact interested parties professionally, respectfully and within a reasonable period. Repeated complaints about absent, inappropriate or aggressive contacts may lead to a warning, suspension or removal of the profile.
The Coach may use a user's contact details only for processing the specific request and for a customer relationship arising from it. Advertising, newsletters or other marketing communication may only be sent if a valid legal basis or the necessary consent exists for this.
12. Conclusion of contract between Coach and user
All negotiations and contracts concerning coaching services take place directly between the Coach and the user. The Coach is solely responsible for the correct description of his services, prices, service periods, termination conditions, cancellation rules, payment deadlines and any health requirements. The Coach is obliged to communicate all material information to the user clearly, completely and comprehensibly before conclusion of the contract.
The Coach Grid does not accept any payments for coaching services unless this is expressly introduced as a separate platform function. If a payment or booking function is offered at a later date, additional terms apply to it.
The Coach Grid assumes no collection, refund, mediation or warranty obligations for contracts between the Coach and the user.
13. Professional responsibility and health risks
The Coach bears sole professional responsibility for his recommendations, training plans, nutrition plans, load management, communication and supervision. The Coach undertakes to offer only services for which he is sufficiently trained and qualified. He must recognise his professional limits and, where necessary, refer users to doctors, physiotherapists, psychologists, nutrition professionals or other suitable specialist bodies.
The Coach may not make diagnoses, carry out curative treatments, recommend medication or replace medical therapies unless he holds the necessary statutory authorisation to do so.
In the case of pregnancy, after childbirth, in the case of injuries, chronic illnesses, cardiovascular problems, diabetes, eating disorders, mental illnesses or other health limitations, the Coach must exercise particular care and, where appropriate, require medical clearance.
The Coach may not recommend, procure or promote any performance-enhancing substances, illegal medication, doping agents or health-endangering practices.
14. Insurance
The Coach is himself responsible for taking out and maintaining professional or business liability insurance appropriate to his activity and, where applicable, further necessary insurance policies. The Coach Grid may request proof of insurance. The existence of insurance does not release the Coach from his personal and professional responsibility.
15. Reviews and feedback
The Coach Grid may enable users to review coaches or to provide feedback. The Coach has no claim to exclusively positive reviews or to the removal of objective negative criticism. The Coach Grid may review, temporarily withhold or remove reviews where there are concrete indications of forgery, manipulation, legal infringement, insult or a lack of connection to an actual experience.
The Coach may not create, commission, purchase or influence falsified reviews by means of impermissible benefits. He may ask users for an honest review, but may not compel any particular review.
16. Data protection and confidentiality
The Coach Grid processes personal data in accordance with the privacy policy applicable from time to time and with applicable data protection law. The privacy policy currently in force can be viewed on the website of The Coach Grid.
In the context of contact requests, the Coach receives personal data of users. The Coach processes this data under his own data protection responsibility, unless expressly agreed otherwise.
The Coach may use the data received exclusively for processing the request, for pre-contractual communication and for a customer relationship arising from it. He must protect the data appropriately and may not sell it, pass it on without authorisation or use it for extraneous purposes.
If no customer relationship comes about, the Coach must delete the data after expiry of a reasonable retention period, unless a statutory obligation or an overriding legitimate interest in further retention exists. In accordance with the privacy policy, The Coach Grid may in principle delete contact data and request data after one month. The Coach is himself responsible for documenting lawfully required information in good time and securely in his own system.
17. Prohibited conduct
The Coach may not use the platform abusively. Prohibited are in particular technical attacks, automated extraction without consent, circumvention of security mechanisms, distribution of malware, creation of false accounts, manipulation of rankings and the abusive use of user data.
The Coach may not use the platform to market illegal offers, pyramid distribution systems, unauthorised health products, doping agents, prescription medication or otherwise impermissible services.
The Coach may not hold himself out as an employee, representative or partner of The Coach Grid unless a corresponding written agreement exists.
18. Suspension and removal of the profile
The Coach Grid may temporarily suspend or permanently remove a profile if the Coach breaches these Coach Terms, statutory provisions, quality standards or legitimate interests of users and third parties. Suspension or removal comes into consideration in particular in the case of false information, falsified certificates, unlawful content, data protection breaches, aggressive marketing, significant user complaints, health-endangering conduct, payment default or damage to reputation.
In the case of minor or remediable breaches, The Coach Grid may first set the Coach a deadline for correction. In the case of serious breaches, imminent danger or reasonable suspicion of criminal conduct, the profile may be deactivated without prior notice.
A suspension or removal on the basis of a breach for which the Coach is responsible does not in principle give rise to any claim for a refund of fees paid.
19. Contract term, renewal and termination
The contract term is governed by the selected offer.
In the case of subscriptions, the minimum contract term is in principle twelve months from activation of the profile, irrespective of whether the fee is paid annually in advance or in monthly instalments. After expiry of the minimum contract term, the subscription is automatically renewed for a further twelve months in each case, unless it is terminated by one of the parties subject to a notice period of thirty days before expiry of the current contract period. Termination may be given in text form, in particular by email.
For the prices applicable to a renewal period, the price list published on the platform at the time of renewal is decisive, provided that The Coach Grid has informed the Coach of a price adjustment at least thirty days before the automatic renewal. If no such notification is given, the price last agreed also applies to the renewal period.
The Coach Grid may offer free or discounted trial phases within the scope of individual offers. If, during such a trial phase, no termination is given in the proper form and within the deadline pursuant to the respective offer description, the trial subscription is automatically converted into a regular, chargeable subscription on the terms applicable at that time. The duration, conditions and notice period of a trial phase follow from the respective offer description.
In addition to subscriptions, The Coach Grid may also offer one-off, non-recurring enrolment fees. In this case the contractual relationship begins with the acceptance of the application and activation of the profile and does not end automatically; paragraphs 2 to 4 of this section do not apply to such offers.
The Coach may declare his termination at any time; it takes effect in each case at the end of the current minimum or renewal period. Fees already paid for the current contract period are not refunded on a pro rata basis in the event of ordinary termination by the Coach.
The Coach Grid may terminate the contractual relationship subject to a notice period of thirty days with effect from the end of the current contract period. The right to terminate without notice for good cause, in particular in the case of breaches pursuant to section 18, remains reserved for both parties.
If the platform is permanently discontinued, The Coach Grid will inform the coaches in advance where possible. Contract periods already paid for but not yet performed will in this case be refunded on a pro rata basis, unless mandatory law provides otherwise.
20. Warranty and availability
The Coach Grid endeavours to operate the platform reliably and securely. However, uninterrupted, error-free or permanent availability is not guaranteed. Maintenance work, security updates, technical disruptions, failures of external providers or events outside the sphere of influence of The Coach Grid may lead to temporary restrictions. The Coach Grid does not warrant that all devices, browsers, operating systems or external services are fully supported at all times.
21. Liability of The Coach Grid
The Coach Grid is liable for direct damage caused by a culpable breach of its own material contractual obligations, to the extent legally permissible. To the extent legally permissible, liability for slight negligence, indirect damage, consequential damage, lost profit, data loss, reputational damage, unrealised business opportunities and leads that fail to materialise is excluded. The Coach Grid is not liable for the conduct of users, coaches, payment service providers, hosting providers, telecommunications companies, search engines, social networks or other independent third parties. Exclusions of liability do not apply insofar as liability for intent, gross negligence or on the basis of mandatory statutory provisions may not be excluded.
The Coach Grid does not tolerate any discrimination against users by coaches on the platform on the basis of gender, origin, religion, sexual orientation, disability, age or other personal characteristics. Corresponding reports may lead to a warning, suspension or removal of the profile pursuant to section 18. However, The Coach Grid is not liable for the personal conduct, the communication or the statements of the Coach towards users or third parties, since the Coach uses the platform independently and on his own responsibility (cf. sections 2 and 3).
22. Indemnification
The Coach undertakes to indemnify The Coach Grid against justified third-party claims raised against The Coach Grid on account of his profile content, his coaching services, his communication, his data protection breaches, his legal infringements or his other conduct. To the extent legally permissible, the indemnification also covers reasonable costs of legal defence.
The Coach Grid informs the Coach about such claims and gives him the opportunity to participate, insofar as this is objectively possible and legally permissible.
23. Intellectual property in the platform
All rights in the platform, its software, structure, design, brand, database, search logic, texts and other content created by The Coach Grid remain with The Coach Grid or with the respective licensors. The Coach receives merely a limited, non-transferable and revocable right to use the platform in accordance with the contract.
24. Amendments to the Coach Terms
The Coach Grid may amend these Coach Terms where objective grounds exist, in particular on account of statutory changes, technical further developments, new functions or changed business models. Material amendments will be communicated to the Coach in a suitable form. Insofar as the amendment significantly disadvantages the Coach, he is given the opportunity to end the contractual relationship as at the date on which it takes effect.
25. Final provisions
Should a provision of these Coach Terms be invalid or unenforceable in whole or in part, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a permissible provision which comes as close as possible to its economic purpose.
The assignment of rights or obligations under this agreement by the Coach requires the prior written consent of The Coach Grid. The Coach is not entitled to set off his own claims against claims of The Coach Grid or to withhold payments, unless the counterclaim has been acknowledged in writing by The Coach Grid or has been established with legal effect.
These Coach Terms are drawn up in the German language. In the case of translations into other languages, the German version shall prevail in case of doubt.
Swiss law applies, to the exclusion of conflict-of-law rules. The exclusive place of jurisdiction is, to the extent legally permissible, the registered office of The Coach Grid GmbH in Cham (ZG). Mandatory places of jurisdiction remain reserved.
